Terms of Service

Effective date: 14 September 2026

These Terms of Service (the “Agreement”) are between SyncingBeam (“SyncingBeam”, “we”, “us”), a company organized under the laws of Italy with its registered address at Rome, Italy — Partita IVA (VAT) 16634531004, and the person or company that accepts them or signs an order form referencing them (“Customer”, “you”). They govern your use of the SyncingBeam cloud service. Plain-English summaries and headings are for readability; the full text of each section is what binds.

Data protectionThe Data Processing Agreement forms part of this Agreement and controls for personal data (Section 9).

1. The service

During the subscription period, we will provide the cloud service described in the key terms, grant the Customer a non-exclusive right to access and use it for its internal business (including services the Customer provides to its own clients as an agency), use commercially reasonable efforts to keep it available, and provide support by email at [email protected]. The Customer is responsible for its users, for keeping credentials confidential, and for the accuracy of the information in its account.

2. Connecting accounts: your warranty of authority

SyncingBeam works by connecting to analytics and marketing accounts — the Customer’s own and, for agencies, accounts belonging to the Customer’s clients. The Customer represents and warrants that, for every account, property, site, or portal it connects to SyncingBeam, it holds all rights, permissions, authorizations, and consents required to grant SyncingBeam access to that account and to the data in it — including, where the account belongs to a client of the Customer, the client’s authorization to connect it and to have its data processed as described in this Agreement and the DPA. This warranty is continuing: it must remain true for as long as the connection stays active, and the Customer must disconnect any account for which it no longer holds the required authority.

3. Third-party platforms and data

The metrics SyncingBeam displays originate from third-party platforms. Google Analytics 4 and Google Search Console data is retrieved through those platforms’ official APIs under their read-only reporting scopes. Where the Google Ads connector has been enabled for the Customer, Ads data is retrieved under Google's separate Ads scope, which Google does not offer in a reporting-only form; SyncingBeam uses it only for reporting reads and does not mutate campaigns or account settings. That connector is not part of the standard service: it is available only where SyncingBeam has enabled it for the Customer, and nothing in this Agreement commits us to making it available. Other advertising and CRM figures reach SyncingBeam through the authorization the Customer grants where that connector has been enabled for them. We present all of it faithfully, but we do not control and cannot verify them. Third-party metrics are displayed “as is”: we make no warranty as to their accuracy, completeness, or fitness for any purpose, and we accept no liability for discrepancies between what a platform reports to us and what it reports elsewhere. We are likewise not liable for the conduct of the platforms themselves — including API changes or deprecations, outages, rate limits and quota reductions, data-sampling or retention changes, or the suspension or revocation of API access or app verification — or for any resulting unavailability of features that depend on them. Where a platform’s conduct makes part of the service permanently unusable, the Customer’s remedy is termination under Section 8.

4. Aggregates are derived data

SyncingBeam stores aggregated statistics — counts, totals, and trends — derived from the data the platforms serve at the time of each sync. These aggregates are our computed work product, not an archive of the source platforms. If a platform stops serving historical data (for example because of its retention limits, account changes, or a disconnection), we have no obligation to reconstruct, re-derive, or backfill aggregates for periods the platform no longer serves, and previously computed aggregates may not be reproducible.

Optional session analysis additionally stores pseudonymous session and event records from an explicitly enabled GA4 BigQuery export. Their processing is described in our Privacy Policy and Data Processing Agreement. These records do not constitute a complete backup of the source platform.

5. Acceptable use and restrictions

The Customer will not, and will not permit anyone to:

  • connect an account it is not authorized to connect, or use the service to access data it has no right to access;
  • use the service in violation of applicable law, of this Agreement, or of the terms of a connected platform (including the Google API Services User Data Policy);
  • resell, sublicense, or provide the service to third parties except as part of the Customer’s own agency services to its clients;
  • reverse engineer the service, probe or disrupt its security, or use it to build a competing product.

6. Suspension

We may suspend the Customer’s access to the service, or to an affected connection, if we have credible evidence that an account was connected without the authority required by Section 2, if a connected platform requires it, if suspension is necessary to protect the service or other customers, or if fees are materially overdue. Where practical we will give notice before suspending, will limit the suspension to what the situation requires, and will restore access promptly once the cause is resolved.

7. Fees and payment

The Customer will pay the fees stated in the applicable order form or plan selection. Fees are exclusive of taxes, which the Customer bears (other than taxes on our income). Except where this Agreement or applicable law says otherwise, fees are non-refundable. The cases in which we do refund, and how cancellation works, are set out in the Refund & Cancellation Policy, which forms part of this Agreement. We may change pricing with effect from the Customer’s next renewal, on at least 30 days’ notice.

8. Term and termination

This Agreement runs from the effective date for the subscription period stated at purchase and renews per that same statement. Either party may terminate for the other’s material breach that remains uncured 30 days after notice, and the Customer may terminate if Section 3’s third-party conduct makes the service permanently unusable for it. On termination, access ends, unpaid fees for the elapsed period fall due, and data is deleted or returned as described in the DPA and the Privacy Policy. Sections that by their nature survive (including Sections 3, 4, and 9 through 15) survive termination.

9. Data protection; order of precedence

The SyncingBeam Data Processing Agreement is incorporated into and forms part of this Agreement. For the processing of personal data, the DPA controls: if the DPA and these terms conflict with respect to personal data, the DPA prevails. For everything else, these terms prevail over any other document except an order form signed by both parties.

10. Warranties and disclaimers

We warrant that the service will materially perform as described in the key terms and that we will provide it with reasonable skill and care. Except for that warranty, and to the maximum extent permitted by law, the service is provided “as is”: we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and — as Section 3 states — all warranties regarding third-party platforms and the accuracy of third-party data. Nothing in this Agreement excludes warranties or rights that applicable law does not allow to be excluded.

11. Indemnification

By the Customer. The Customer will defend and indemnify us against third-party claims (including claims by the Customer’s clients and by data subjects) arising from: (a) the data and accounts the Customer connects to the service; (b) breach of the Customer’s warranty of authority in Section 2; or (c) the Customer’s unlawful use of the service or use in breach of this Agreement.

By us. We will defend and indemnify the Customer against third-party claims alleging that the service itself, as provided by us and used as permitted, infringes the claimant’s intellectual property rights. This is our sole indemnification obligation. It does not cover claims arising from the Customer’s data, from connected third-party platforms, from combinations with things we did not supply, or from use in breach of this Agreement. If an infringement claim arises, we may procure the right to continue, modify the service to be non-infringing, or terminate the affected service and refund prepaid unused fees.

The indemnified party must give prompt notice, tender control of the defense to the indemnifying party, and reasonably cooperate.

12. Limitation of liability

To the maximum extent permitted by law: each party’s total aggregate liability arising out of or related to this Agreement is capped at the fees the Customer paid to us in the 12 months before the event giving rise to the claim, and neither party is liable for consequential, indirect, incidental, special, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised of their possibility. These limits do not apply to the Customer’s payment obligations, to either party’s indemnification obligations under Section 11, to breach of the warranty of authority in Section 2, or to liability that cannot be limited under applicable law (such as liability for willful misconduct, gross negligence, or death or personal injury caused by negligence).

13. Confidentiality

Each party will use the other’s confidential information only to perform under this Agreement, protect it with at least reasonable care, and not disclose it except to personnel and advisers bound by equivalent duties, or where disclosure is required by law (with notice to the other party where lawful). Customer data is the Customer’s confidential information; the non-public features and pricing of the service are ours.

14. Intellectual property

The Customer retains all rights in the data and accounts it connects. We retain all rights in the service, including the software, the normalization models, and anonymous, aggregated usage statistics that do not identify the Customer or its clients. Each party grants the other only the rights this Agreement states.

15. General

This Agreement is governed by Italian law, and disputes belong to the courts of Italy, without prejudice to mandatory consumer or forum rules that cannot be waived. Notices go to the addresses in the key terms and are effective on receipt. Neither party is liable for delay caused by events beyond its reasonable control. The Customer may not assign this Agreement without our consent, except to a successor in a merger or asset sale; we may assign it to an affiliate or successor. If a provision is unenforceable, the rest stands. We may update these terms prospectively; material changes take effect for the Customer at its next renewal or 30 days after notice, whichever is later, and the then-current version is always published at syncingbeam.app/terms. This Agreement, the DPA, and any order form are the entire agreement between the parties about the service.
